What Regulatory and Public-Interest Boards Require

Independence and public accountability

The defining requirement is demonstrable independence. Board members of a regulator or ombudsman must be free of conflicts, visibly impartial, and able to withstand the scrutiny of the sector they oversee, the sponsor department, Parliament and the public. Non-executives must understand and embody the standards expected in public life, and bring the probity and resilience to govern under external attention.

Governance under a sponsor framework

Arm’s-length bodies operate under a framework agreement with a sponsor department, subject to public-sector governance expectations set out in guidance such as the Corporate Governance Code for central government departments. Board members must understand the balance between operational independence and accountability to government, and the reporting and transparency obligations that flow from public funding.

Financial stewardship of public money

Whether funded by levy, fee or grant, these bodies are stewards of public or industry money and are held to a high standard of financial propriety, often overseen in line with Managing Public Money principles. A finance-qualified non-executive chairing the audit and risk committee is frequently essential.

About the Founder

Adrian holds an ICAEW practising certificate and read for a BSc at Queen Mary College, University of London. Adrian has placed non-executive directors and board members into regulatory bodies, ombudsman services and public-interest organisations that operate under a governance standard demanding genuine independence, transparency and public accountability. These boards need non-executives who understand accountability to a sponsor department, the standards expected in public life, and the financial propriety required of bodies stewarding public or industry money. As a chartered accountant, Adrian brings a direct grounding in the audit and financial-stewardship standards these bodies are held to, and assesses candidates on probity and independence as rigorously as on sector experience.
