Non-Executive Directors for Healthcare Boards

A trust board is accountable not only to its own organisation but to NHS England, the Care Quality Commission and, in a foundation trust, to an elected Council of Governors. Non-executive directors must scrutinise financial performance under severe resource pressure, hold executives to account on patient safety and quality, and meet a level of public accountability that few commercial board roles carry, all without operational involvement.

NED Capital works with healthcare boards that need non-executive directors and committee chairs with the right mix of financial credibility, governance experience and public-service values. Searches are run by our senior search team, each with at least ten years in senior-level recruitment, under founder Adrian Lawrence FCA, whose ICAEW background gives a direct grounding in the financial stewardship that NHS boards demand. Candidates and boards often start with a conversation about the responsibilities and legal duties a non-executive appointment carries.

How NHS Board Appointments Are Made

It is important to be clear about who appoints NHS non-executives, because the routes differ by type of organisation.

NHS trusts. Chairs and non-executive directors of NHS trusts that are not foundation trusts are appointed through NHS England’s own appointments process. Vacancies are advertised on NHS England’s non-executive opportunities pages, and candidates apply directly. We do not run those NHS England-led campaigns, but we do help experienced directors understand the role and prepare strong applications.

Foundation trusts. In a foundation trust, the Council of Governors is responsible for appointing the chair and the non-executive directors, usually through its nominations committee. Foundation trusts frequently use search firms to widen the field and reach candidates who would not otherwise apply, and this is where NED Capital can run a full search on behalf of the trust and its governors.

NHS-adjacent and independent healthcare boards. Social enterprises delivering NHS services, community interest companies, hospices, charities, independent hospital groups and health-tech businesses all need non-executives who understand NHS commissioning, regulation and culture. These appointments are made by the organisations’ own boards, and we run searches for them in the same way as any other non-executive director recruitment mandate.

Whatever the route, all NHS board members must meet the NHS England Fit and Proper Person Test Framework for board members, which sets out the checks and references required before and during an appointment. We build those requirements into our candidate assessment from the start.

The NHS Trust Governance Structure

An NHS trust is led by a unitary board of executive and non-executive directors, chaired by a non-executive chair. The executives, typically the chief executive, director of finance, medical director and chief nurse, run the organisation day to day; the non-executives bring independent judgement, challenge and oversight. In a foundation trust, a Council of Governors made up of elected public, patient and staff governors and appointed stakeholder governors holds the non-executives to account collectively for the board’s performance. This dual accountability is distinctive to the NHS and shapes what an effective trust NED must be able to do.

Trust boards work to the Code of governance for NHS provider trusts, which covers board composition, independence, committee structures and the relationship with governors, and are regulated for quality and safety by the CQC. The legal framework sits in the National Health Service Act 2006 and later health legislation. Governance here is not abstract; it is inspected, rated and published. For a wider view of public sector boards, see our guide to appointing NEDs in the public sector.

What NHS and Healthcare Boards Look For

Financial oversight under pressure

NHS finances are complex and chronically stretched. Non-executive directors must be able to interrogate budgets, cost-improvement programmes, capital plans and the drivers of financial performance, and to chair or sit on the audit committee with genuine authority. A finance-qualified NED is highly valued, which is why boards frequently look for a chair of the finance committee or an audit committee chair with a professional accountancy background. Our article on what an audit committee actually does explains the role.

Quality and patient-safety governance

Beyond finance, the board is accountable for the quality and safety of care. Non-executives must be able to read quality metrics, understand clinical governance, probe serious incidents and mortality data, and hold the executive to account on patient outcomes. This takes the confidence to ask hard questions in an unfamiliar clinical setting and the judgement to know which questions matter. Clinical non-executives, such as former senior clinicians or medical academics, are often sought to chair quality committees.

People, culture and remuneration

Workforce is the largest cost and the biggest risk in most healthcare organisations. Boards need non-executives who can oversee workforce planning, culture and speaking-up arrangements, and who can chair a remuneration or people committee where executive pay is set within national frameworks.

Public accountability and independence

Trust board members work in public. Papers are published, meetings are held in public, and decisions are scrutinised by governors, regulators, local media and the communities the trust serves. Non-executives must bring genuine independence, a public-service ethos and the resilience to govern transparently under external attention.

System working

NHS providers now work closely with partners across their local integrated care system. Non-executives who understand partnership working with local government, social care and the voluntary sector are increasingly valued, and many of our local government and charity board candidates bring exactly that experience.

Our Approach to Healthcare Board Appointments

We begin with the board’s specific need: the committee to be strengthened, the skills gap on the board, the regulatory context and, in a foundation trust, the expectations of the Council of Governors and its nominations committee. We then assess candidates against that brief, looking at financial or clinical credibility, public sector governance understanding, independence and the behaviours that make a non-executive effective on a unitary board.

Our process reflects the reality that foundation trust appointments are made by governors and must stand up to public scrutiny. We provide clear written assessments that a nominations committee can rely on, support governor interview panels where asked, and make sure fit and proper person checks can be completed without delay. We work in line with the voluntary code of conduct for executive search firms.

For independent healthcare, life sciences and health-tech boards, our healthcare and life sciences NED recruitment service covers commercial appointments, and our non-executive chair recruitment service covers chair searches across sectors. Boards reviewing their own effectiveness may also find our page on board evaluations and reviews useful.

For Candidates Considering an NHS Board Role

NHS non-executive roles attract strong interest from senior leaders in finance, law, technology, academia and the voluntary sector who want to contribute to public services. Remuneration is set nationally and is modest compared with commercial boards, and the time commitment is significant, typically several days a month including committee work and governor engagement. We talk candidates through what the role involves, how foundation trust and NHS England processes differ, and how to present board-relevant experience. If you are considering your first board role, our guide on how to become a non-executive director is a good place to start, and you can register with NED Capital to hear about relevant roles.

Frequently Asked Questions

Can NED Capital fill NHS trust non-executive vacancies?
Appointments to NHS trusts that are not foundation trusts are made through NHS England’s own process, which candidates apply to directly. We run searches for foundation trusts, whose governors make their own appointments, and for NHS-adjacent and independent healthcare boards.

Do NHS non-executives need healthcare experience?
Not always. Boards need a balance of skills, and finance, legal, digital, workforce and commercial expertise are all valued. What matters is the ability to apply that expertise to a clinical, publicly accountable setting.

What checks apply to NHS board members?
All board members must meet the NHS England Fit and Proper Person Test Framework, which includes references, qualification and employment checks and ongoing annual review.
