The opportunity

A UK organisation is seeking a Non-Executive Director with a senior legal and governance background to strengthen its board's oversight of legal, regulatory, governance and risk matters. As the legal and regulatory environment grows more complex, boards increasingly value a non-executive who can bring the perspective of an experienced lawyer or general counsel to the boardroom.

This is a board-level governance role — providing oversight, challenge and judgement, not acting as the organisation's lawyer or running its legal function. The successful candidate will translate deep legal and governance experience into effective board-level contribution across the full range of the board's work.

Responsibilities

Key responsibilities

Providing the board with informed oversight of legal, regulatory, governance and compliance risk
Bringing independent judgement to the board's governance framework, decision-making and adherence to legal and regulatory obligations
Contributing board-level perspective on risk management and, where relevant, serving on or chairing a governance or risk committee
Helping the board understand and oversee its most significant legal and regulatory exposures
Contributing as a full member of the board to strategy, performance oversight and constructive challenge
Upholding independence and the highest standards of governance

Qualifications

What we're looking for

A senior legal career (e.g. General Counsel, senior partner, or equivalent), ideally with company-secretarial or board-governance exposure
Strong understanding of corporate governance, regulatory compliance and board-level risk
The ability to operate as a board member — oversight and challenge, not execution
Independence, integrity and sound, balanced judgement
Existing board experience welcome; we will also consider first-time NEDs of the right calibre

Terms and commitment
Initial three-year term, renewable by agreement. Competitive non-executive fee, with D&O liability insurance and indemnity in place. Typically several days per quarter across board and committee meetings, preparation and occasional additional matters. Hybrid, with some in-person attendance.
