Position title
Independent Statutory Director (Part-Time) – UK and US Holding Companies
Description

NED Capital is supporting an international group in appointing three independent, part-time professional directors to the boards of its holding companies: two directors for a UK holding and group oversight company, and one director for a US holding and investment company.

These are genuine statutory directorships. The group is clear that it is not looking for nominee or "rubber-stamp" directors. Each appointee will sit on the board as a full statutory director, exercise independent judgment, and carry the fiduciary duties that come with the role. Day-to-day management will remain with the group's executives; the board's job is oversight, challenge and sound governance.

The commitment is proportionate and part-time, built around quarterly board meetings with reasonable additional meetings when material decisions arise. This suits an experienced director, chartered accountant, lawyer, company secretary or governance professional who wants a well-defined board seat alongside an existing portfolio.

UK applicants will be considered for the two UK seats and should be UK-resident. US applicants will be considered for the US seat and should be US-resident. Final entity structures, jurisdictions and appointments will be confirmed with shortlisted candidates, and all appointments are subject to due diligence on both sides.

Responsibilities

  • Act as an independent statutory director of the relevant holding company, exercising your own judgment and discharging your fiduciary and statutory duties in line with the law of that jurisdiction (for UK directors, including the general duties under the Companies Act 2006).
  • Attend quarterly board meetings, plus reasonable additional meetings where material decisions, transactions or issues require the board's attention.
  • Review management accounts, financial information, and risk and compliance reports ahead of each meeting, and challenge management constructively where needed.
  • Take an active part in material decisions, including investments, disposals, financing, group structure, related-party matters and significant contracts.
  • Make sure board decisions are properly minuted and that resolutions, statutory registers and filings are handled correctly, working with the company secretary or corporate services provider.
  • Oversee the group's governance framework, internal controls and risk management, and flag any area where the company's activities, structure or regulatory position need further advice before the board proceeds.
  • Manage and declare conflicts of interest, and keep your independence from management and shareholders.
  • Have full access to information and to management, and use it: ask questions, request further papers and make sure the board is properly informed before it decides.
  • Contribute to the board's view on whether any activity brings the company within a regulated perimeter (for example financial services, tax, banking or licensing) and make sure appropriate specialist advice is taken.
Qualifications

  • Prior experience as a statutory director, non-executive director, trustee or board member, ideally in a holding company, investment company or group structure.
  • A strong understanding of directors' duties, corporate governance and board process in the relevant jurisdiction (UK or US).
  • The financial literacy to read and challenge management accounts, group reporting and risk and compliance reports. A professional qualification such as ACA, ACCA, CIMA, CPA, CGI (Chartered Governance Institute), or a legal qualification, is highly regarded.
  • Experience of international or multi-entity groups, cross-border structures or investment holding companies would be an advantage.
  • Exposure to financial services, regulated businesses or compliance oversight is useful, given that the group's entity activities will be assessed before appointment.
  • Genuine independence: no existing relationship with the group, its shareholders or its executives that would compromise your judgment.
  • A clean record suitable for statutory office, with no disqualification as a director, and willingness to complete identity, background and conflict checks.
  • Residence: UK-resident for the two UK seats; US-resident for the US seat.
  • Comfortable carrying out your own due diligence on the group before accepting an appointment, and willing to set out what information and protections you would need to take the seat.
Job Benefits

  • A genuine independent board seat with real authority and full access to information – not a nominee role.
  • Part-time and flexible: quarterly board meetings plus occasional additional meetings, much of which can be done remotely.
  • Monthly remuneration of US$1,000–US$2,000 per director (circa US$1,500), depending on experience, scope and the time the role requires.
  • The chance to shape governance and oversight at holding-company level across an international group as its structure is put in place.
  • A well-defined commitment that fits alongside an existing non-executive or professional portfolio.
  • Appointment terms, including expected hours, indemnity and D&O insurance, conflicts and termination, to be agreed transparently before you accept.
