A publicly-owned group delivering essential local services is seeking a high-calibre Non-Executive Director to bring commercial insight, entrepreneurial thinking and genuine independent perspective to its Group Board.

The Group Board is collectively responsible for the success of the group of companies, and is made up of directors common to all group companies.

As a Non-Executive Director, you will provide independent oversight, constructive challenge and strategic guidance, and act as a trusted sounding board for the Executive Leadership Team — sharing experience and offering practical advice as they assess opportunities, test ideas and develop the business, while helping ensure the group maintains the highest standards of governance, financial discipline and accountability.

Responsibilities

Key responsibilities

Commercial growth and innovation

  • Help shape the group's approach to business development and sustainable commercial growth
  • Bring an entrepreneurial perspective to identifying potential customers, partnerships, markets and services
  • Support and challenge the Executive team in assessing commercial opportunities — weighing demand, profitability, investment, risk and delivery capacity
  • Encourage fresh thinking and innovation, offering practical guidance while respecting the Executive team's responsibility for delivery
  • Help ensure commercial growth supports the group's public purpose and long-term success

Board and governance

  • Contribute actively to the effective operation of the Group Board and its committees, bringing independent perspective and constructive challenge to decision-making
  • Uphold compliance with legal, regulatory and governance requirements
  • Prepare for and attend Board and Committee meetings

Strategic leadership

  • Contribute to the development, and monitor the delivery, of the group's strategy and business plan, including its objectives and priorities

Performance and assurance

  • Participate in the evaluation of the Board's performance and that of individual directors
  • Monitor the group's performance against strategy, objectives and KPIs

Finance and risk oversight

  • Provide critical review and challenge to help ensure the integrity of financial information and reporting
  • Monitor financial performance, ensuring robust oversight of investments, budgets, forecasts and value for money
  • Review and assess risk management frameworks, including the strategic risk register

Stakeholder engagement and responsible leadership

  • Build and support relationships with shareholders and stakeholders, including communicating strategy and performance
  • Encourage a culture of integrity, accountability, ethical behaviour, inclusion, and employee wellbeing, health and safety
  • Promote learning and continuous improvement, and support the group by building relevant networks
Qualifications

Experience and qualifications required

  • Board-level experience as a non-executive director
  • Senior leadership experience, ideally within a local-authority trading company or comparable publicly-owned commercial environment
  • Expertise in at least one relevant area:
    • A business development / commercial background, with a track record of building or growing a business, winning customers, developing services or opening new markets — entrepreneurial experience welcomed, whether as a founder or through leading growth within an established organisation
    • In-depth knowledge of financial management, audit and treasury, with the ability to assess financial and commercial performance
    • Significant asset-management experience
  • A proven track record of strategic planning and decision-making
  • Strong understanding of corporate governance, risk management and regulatory compliance
  • Excellent analytical and problem-solving skills, sound judgement in balancing risk, cost, quality and social value, and the confidence to challenge constructively while maintaining collaborative relationships
  • A commitment to high standards of governance, integrity and accountability, and to diversity, equity and inclusion

Desirable experience

  • Expertise in one of: customer experience and engagement; environmental services; grounds and facilities; environmental sustainability; or communications, marketing and brand management
  • Knowledge of the West London area and the public-services environment
Job Benefits

Approximately 20 days per year, including four Board meetings, four to six committee meetings, two strategy days and two business-familiarity days (in person), plus additional meetings such as board evaluations.
