Why a NED Matters During a Fundraise

Investors back management teams, but they take comfort from governance. An experienced independent director on the board tells a prospective investor that decisions are challenged, that financial reporting is overseen by someone with nothing to gain from flattering it, and that the business is being run to institutional standards. That credibility can be decisive in a competitive process. Beyond the signal, a fundraising-experienced NED contributes directly: testing the equity story, pressure-testing the financial model and forecasts, preparing the board for due diligence, and drawing on relationships with investors, advisers and other portfolio boards.

Governance Standards We Apply

We assess every NED candidate against the independence criteria of the relevant governance framework — the UK Corporate Governance Code for premium-listed companies, the QCA Code for AIM businesses, or Charity Commission guidance for charity appointments — and against the statutory duties set out in the Companies Act 2006. Our approach draws on the Institute of Directors’ guidance on the NED role, and we operate in line with the voluntary code of conduct for executive search firms.
