People & Culture NED Recruitment
Culture, leadership and workforce strategy now sit firmly on the board agenda. Investors, regulators and employees expect boards to understand how an organisation treats its people and lives its values, and the UK Corporate Governance Code places explicit responsibility on boards for culture and workforce engagement. A People & Culture Non-Executive Director gives the board the expertise to discharge that responsibility — oversight of culture, remuneration, succession, diversity and the social dimension of ESG.
NED Capital places Non-Executive Directors with people, HR and culture expertise — former Chief Human Resources Officers, HR Directors and reward and organisational-development leaders who have shaped organisations from within and now bring that experience to the board table. Board-level people oversight is closely tied to composition and inclusion, which our core non-executive director recruitment service addresses across every appointment.
Why People & Culture Expertise Matters in the Boardroom
People governance is no longer a soft agenda item. Culture failures sit behind many of the most damaging corporate and regulatory scandals of recent years, and boards are increasingly judged on how they oversee leadership behaviour, tone from the top and the alignment of incentives with values. A People & Culture NED strengthens the board’s ability to oversee organisational culture and leadership succession, to govern executive remuneration fairly and transparently, to embed diversity and inclusion as a strategic rather than symbolic priority, and to manage the reputational risk that flows from how an organisation treats its people.
The Profiles We Represent
Our people and culture network typically includes CHROs who have led people strategy across international organisations; HR Directors from listed, private and public-sector bodies with genuine board-level influence; reward and remuneration specialists who chair or sit on remuneration committees; organisational-development and culture-change leaders; and specialists in the social dimension of ESG. Common to all is deep experience of complex change, a strong grasp of employment regulation and governance, and the boardroom judgement to challenge and support an executive team in equal measure.
Where People & Culture NEDs Add Most Value
Remuneration and reward
Executive pay is among the most visible and sensitive issues a board handles. People & Culture NEDs frequently chair or sit on the Remuneration Committee, ensuring pay structures are fair, transparent and aligned to performance and stakeholder expectations, and that decisions can withstand shareholder and public scrutiny.
Succession and leadership development
Effective boards plan for leadership continuity rather than reacting to departures. Experienced CHROs bring a discipline of succession planning and talent-pipeline oversight that keeps the board’s attention on leadership capability, not just quarterly performance.
Diversity, inclusion and the social dimension of ESG
As ESG frameworks increasingly incorporate social metrics — pay gaps, turnover, inclusion data, wellbeing outcomes — the governance of people strategy has moved from an HR function to a board-level accountability. People & Culture NEDs help boards move from policy to measurable progress, and connect social performance to the board’s wider ESG obligations. The behaviours that make this effective are set out in our overview of NED skills, competencies and behaviours.
Our Approach
We begin by understanding your organisation’s values, leadership challenges and the specific people or ESG gap on your board. We then draw on a network of CHROs, HR Directors and reward specialists with proven board readiness, assessing each candidate not only on experience but on their ability to influence boardroom dynamics with empathy, integrity and authority. Cultural fit and independent judgement carry as much weight as functional expertise.
About the Founder
NED Capital was founded by Adrian Lawrence FCA, a Fellow of the ICAEW with over 25 years working with boards, investors and business owners across the UK. Adrian holds an ICAEW practising certificate and read for a BSc at Queen Mary College, University of London. Adrian has placed non-executive directors with people, culture and human-resources expertise for organisations that recognise workforce strategy and organisational culture require the same quality of board oversight as financial performance. People and culture NEDs provide independent challenge on executive remuneration, leadership development, succession and the cultural conditions that drive long-term performance — an area of governance that has moved decisively from the HR function to the boardroom. He personally leads NED Capital’s search mandates.
“NED Capital understood exactly the balance of financial credibility and independent judgement we needed at board level. Adrian led the search personally, and the director we appointed has strengthened our governance from the first meeting.”
