Board capability assessment
The starting point is an honest assessment of the board as it stands. We map the current directors against a skills matrix aligned to the organisation’s strategy and the relevant governance code, considering governance expertise, sector knowledge, financial acumen, strategic foresight, risk and technical skills, ESG and digital capability, and the diversity of perspective around the table. The output is a clear view of where the board is strong, where it is thin, and where an appointment or development intervention will add the most value.
Skills-gap analysis and the board matrix
A one-size-fits-all NED profile is ineffective, because board needs vary with organisational context. We translate the capability assessment into a prioritised skills matrix that defines exactly what the next appointment should bring — and, just as importantly, what it does not need to duplicate. This turns a vague sense that the board could be stronger into a specific, defensible brief that shortens the eventual search and improves the quality of fit.
Succession planning
Board succession is one of the largest single drivers of long-term governance quality, yet it is frequently left until a departure forces a rushed appointment. We help boards plan director and committee-chair succession ahead of need, identifying the sequence of appointments required, the lead times involved and the development pathways for existing directors who may step up. Planned succession protects continuity and removes the pressure that leads to poor last-minute choices.
Board evaluation and development
Beyond composition, we support the evaluation of board and individual-director effectiveness, identifying gaps in skill or dynamic and recommending targeted development. This may cover the onboarding of new directors, governance orientation, or the specific capabilities a board must build to meet a new challenge. Well-integrated, well-developed directors contribute faster and more effectively — and the discipline of regular evaluation is itself a signal of a well-governed board.

Every candidate is assessed against the specific independence, sector-experience and time-commitment requirements of your board before introduction.
Our advisory draws on the Institute of Directors’ guidance on the NED role and the Chartered Governance Institute’s standards for board appointments. We apply the independence criteria of the relevant code for your organisation — the FRC Code for premium-listed companies, the QCA Code for AIM businesses, or Charity Commission guidance for trustee appointments — and we operate in line with the voluntary code of conduct for executive search firms. A private equity-backed SaaS business approaching Series B needed an independent NED with digital-transformation experience and institutional-investor relationships; we placed an INED with prior experience on two PE portfolio boards within six weeks. A national charity with £8m income required a finance-qualified trustee to chair its audit and risk committee; we placed a chartered accountant with prior voluntary-sector trustee experience. About the Founder
NED Capital was founded by Adrian Lawrence FCA, a Fellow of the ICAEW with over 25 years working with boards, investors and business owners across the UK. Adrian holds an ICAEW practising certificate and read for a BSc at Queen Mary College, University of London. He works with boards on talent strategy beyond the immediate search brief — board composition, succession, skills-gap assessment and the development needs of individual directors — drawing on his experience across hundreds of board searches and evaluations. He personally leads NED Capital’s advisory and search mandates.
