Early and venture stage
At Seed and Series A, the board is small and the priorities are existential: is the product finding its market, is the team being built correctly, is capital being deployed efficiently. The most useful non-executive here has scaled a business through the same phase, can challenge burn rate and hiring plans with credibility, and brings relationships in the venture and customer community. Governance is light but the strategic challenge is intense.
Growth and later stage
As a business raises larger rounds, the governance agenda broadens to financial controls, operational scalability, KPI discipline and the first serious conversations about exit. Boards at this stage benefit from a non-executive who can chair or strengthen the audit function and bring the reporting rigour that institutional investors expect.
Private equity ownership
Under PE ownership the board operates against a value-creation plan with a defined hold period. Debt covenants, cashflow discipline, buy-and-build M&A and exit readiness dominate the agenda. Our Approach
We start with a precise brief — the investment stage, the shareholder structure, the value-creation plan and the specific capability gap on the board — and assess candidates against that brief rather than a generic NED template. We evaluate their instinct for the pace and accountability of investor-backed ownership, their comfort with investor reporting and, where relevant, debt covenants, and the boardroom behaviour that makes a non-executive effective alongside an investor director. We assess every candidate against the independence criteria of the relevant code, the UK Corporate Governance Code or the QCA Code where an AIM listing is in view, and operate in line with the voluntary code of conduct for executive search firms.
