Real Estate and Property Non-Executive Recruitment

Real Estate and Property Non-Executive Recruitment

Property is a cyclical, capital-intensive and increasingly regulated sector, and its boards need non-executives who understand all three. Whether the business is a listed REIT, a housebuilder, a commercial developer, a property fund or a build-to-rent operator, the board has to govern significant leverage, long development timelines, planning and environmental risk, and the growing weight of building-safety and sustainability regulation. A non-executive director with genuine real estate experience gives the board the credibility to oversee these risks rather than relying on management’s assurances.

NED Capital recruits non-executive directors and chairs for real estate and property businesses across the UK, from listed property companies and housebuilders to privately owned developers, investment managers, funds and housing providers. Our non-executive director recruitment process assesses every candidate on both sector credibility and boardroom effectiveness, and our wider board recruitment work helps property boards plan several appointments together when the composition of the whole board needs to change.

Searches are run by our senior search team under founder Adrian Lawrence FCA, a chartered accountant and former listed-company finance director. That finance background matters in a sector where valuation, gearing and covenant headroom sit at the heart of almost every board discussion.

Why Property Boards Need Specialist Non-Executives

Real estate businesses look simple from the outside: buy, build or hold assets and collect rent or sale proceeds. In the boardroom they are anything but. The value of the balance sheet rests on valuation judgements. The business model depends on access to debt and equity at a cost that makes development or acquisition viable. Projects take years to move from land acquisition to completion, during which planning, construction costs, interest rates and demand can all move against the plan. And the regulatory environment has changed sharply, particularly on building safety and energy performance.

A non-executive without property experience can still add value through general governance skills, but they will find it hard to challenge a valuation, test a development appraisal or judge whether a refinancing plan is realistic. Boards that recruit for genuine sector depth give themselves an independent voice that management cannot easily talk round, and investors and lenders notice the difference.

What Real Estate Boards Require

Capital, leverage and cycle judgement

Property businesses run on debt and are exposed to interest-rate and valuation cycles. Non-executives must be able to interrogate gearing, covenant headroom, valuation assumptions, hedging and development funding, and bring the judgement of directors who have governed through a downturn as well as a boom. A finance-qualified non-executive is especially valuable as audit committee chair, where the valuation of investment property and the treatment of development costs are usually the most significant judgements in the accounts. Our guide to what an audit committee actually does explains the role in more detail.

Development, planning and building safety

Long development pipelines carry planning, construction and now significant building-safety risk. The Building Safety Act 2022 and the creation of the Building Safety Regulator changed the accountability landscape for developers, owners and managers of higher-risk buildings. Boards now need directors who understand how building-safety duties, remediation liabilities and the golden thread of information affect strategy, cash flow and reputation. Directors with development and construction governance experience are increasingly essential.

Sustainability and ESG

Real estate sits at the centre of the net-zero transition. Energy performance, embodied carbon, retrofit obligations and sustainability reporting are now board-level issues, and occupiers and investors increasingly look at the environmental credentials of a portfolio before they commit. Non-executives with ESG credibility in a property context help boards move from policy to measurable progress. Our page on why boards increasingly seek NEDs with ESG experience covers the wider trend, and some property boards appoint an ESG board chair or committee chair to lead this work.

Investor, lender and stakeholder relationships

Property boards answer to a wide group of stakeholders: shareholders and fund investors, banks and bondholders, joint-venture partners, local authorities and, for residential businesses, tenants and residents. Non-executives who have worked with institutional investors and lenders bring credibility in those conversations, and a chair who can manage the relationship between the board, the investment manager and the shareholders is often the most important appointment a property vehicle makes.

Types of Property Business We Recruit For

Listed property companies and REITs. Listed real estate companies apply the UK Corporate Governance Code or, for many smaller companies, the QCA Code, and need independent directors who satisfy investor expectations on independence, tenure and committee composition. We recruit chairs, senior independent directors and committee chairs, and our listed company NED recruitment page explains how those searches run.

Property investment trusts and funds. Externally managed property vehicles have boards made up entirely of non-executives, whose central task is to oversee the investment manager. These boards typically follow the code published by the Association of Investment Companies. See our investment trust board appointments page for how we approach them.

Housebuilders and developers. Private and listed developers need directors who understand land, planning, construction risk and sales, as well as the building-safety regime. Many private developers are appointing their first independent director as they grow, and our page on board member search for private companies covers that first step.

Private equity-backed property platforms. Operating platforms in sectors such as build-to-rent, student accommodation, logistics and self-storage are often backed by private equity or infrastructure investors. Their boards need chairs and non-executives who can work to an investment plan and an exit timetable; see NEDs for private equity boards.

Housing associations and social housing providers. Registered providers combine property development and asset management with a social purpose and regulation by the Regulator of Social Housing. We cover these boards on our housing association NED recruitment and housing association board member search pages.

The Profiles We Represent

Our real estate network includes former chief executives and finance directors of property companies, experienced fund managers and investment directors, development and construction leaders, chartered surveyors, real estate lawyers and bankers, and sustainability specialists who have led portfolio decarbonisation. It also includes directors from adjacent sectors who bring perspectives property boards often lack, such as technology, customer experience or consumer finance.

Industry bodies such as the Royal Institution of Chartered Surveyors and the British Property Federation set professional standards and represent the sector, and we look for candidates whose professional background and conduct stand up to the scrutiny of both. Because NED Capital is one of five specialist firms in the FD Capital Group, we also draw on a wider network of finance directors and chief executives who have worked in or alongside the property sector.

How We Run a Property NED Search

Every search follows the same disciplined process, adapted to the type of business and the role.

1. Brief. We start with the board, not the role. We look at the current composition, the gaps in property, finance and sustainability expertise, the committee structure, and the stage the business is at in the cycle. A board skills matrix often helps clarify exactly what the new director needs to bring.

2. Research and outreach. The strongest property non-executives are usually already serving on boards and are selective about new roles. We map serving directors and senior executives across real estate, construction, finance and related sectors and approach them directly and in confidence.

3. Assessment. Candidates are assessed for sector credibility, board judgement, independence and time commitment. We check conflicts carefully, because property is a sector where directors often hold interests in other developments, funds or land.

4. Shortlist and appointment. You receive a shortlist you can compare like for like, with our assessment of each candidate. We support interviews, referencing, offer and induction. Our step-by-step guide to the NED recruitment process explains each stage.

We work in line with the voluntary code of conduct for executive search firms, with the timeline and fee structure agreed before any search begins. For an indication of current non-executive fees, see our NED salary guide.

Frequently Asked Questions

Does a property company need a non-executive with property experience?
Not every non-executive needs to come from property, but most property boards benefit from at least one independent director who can challenge valuations, development appraisals and funding plans from first-hand experience. The rest of the board can then add finance, governance, sustainability or customer expertise.

Who should chair the audit committee of a property company?
Usually a finance-qualified non-executive with recent and relevant financial experience, ideally including property valuation and accounting. Investment property valuation is often the most significant judgement in the accounts, so audit committee chairs in this sector need to be comfortable challenging valuers and auditors.

Can you recruit for externally managed property funds?
Yes. We recruit chairs and non-executives for property investment trusts and funds, where the board’s main role is to oversee the investment manager on behalf of shareholders.

Do you recruit for housing associations?
Yes. Housing association boards combine development and asset management with regulatory and social responsibilities, and we recruit board members and chairs for registered providers across the UK.

Where do you work?
We recruit across the UK from our offices in London and the West Midlands. See our locations page for regional coverage.
