Transport and Infrastructure Non-Executive Recruitment

Transport & Infrastructure Non-Executive Recruitment

Transport and infrastructure businesses govern some of the longest time horizons and largest capital commitments in the economy, frequently under public ownership, concession or heavy regulation. Rail operators, airports, ports, utilities, highways concessions and infrastructure funds must balance decades-long asset investment against regulatory price controls, safety obligations, and rising expectations on decarbonisation and resilience. Non-Executive Directors in this sector need to understand infrastructure economics, the regulatory frameworks that govern returns, and the safety and public-accountability obligations that come with operating essential assets.

NED Capital places Non-Executive Directors and Chairs into transport and infrastructure businesses across the UK — from regulated utilities and rail to airports, ports, highways and the infrastructure funds that own them. Every candidate is assessed on both sector credibility and boardroom effectiveness, and every search is led personally by Adrian Lawrence FCA. Boards frequently pair this with our NEDs for private equity boards service where infrastructure-fund ownership is involved.

What Transport & Infrastructure Boards Require

Capital, concessions and long-horizon economics

Infrastructure assets are financed over decades and often held through concessions, regulated asset bases or long-term funds. Non-executives must be able to interrogate capital plans, funding structures, gearing and the economics of assets that pay back over twenty years or more, and bring the judgement of directors who understand infrastructure returns and covenant discipline. A finance-qualified NED with infrastructure experience is highly valued for chairing the audit function.

Regulation and price control

Much of the sector operates under economic regulation — by bodies such as Ofgem, Ofwat, the Office of Rail and Road and the Civil Aviation Authority — that sets allowed returns, service standards and investment obligations. Non-executives who understand the price-control regime and the regulatory settlement provide oversight that boards without sector experience cannot.

Safety, resilience and decarbonisation

Operating essential assets carries direct accountability for safety and resilience, and increasingly for the decarbonisation of transport and energy infrastructure. Directors with genuine safety-governance and sustainability credibility help boards oversee obligations where failure carries severe human, financial and reputational consequences.

The Profiles We Represent

Our transport and infrastructure network includes former chief executives and finance directors of regulated utilities, transport operators and infrastructure businesses; regulatory and public-affairs specialists who understand the economic-regulation regime; safety and engineering leaders with board-level governance experience; and finance-qualified directors able to chair audit committees in capital-intensive, regulated businesses. Many hold non-executive roles on regulated, publicly owned and infrastructure-fund-backed boards and understand the distinct governance demands of each ownership model. The behaviours that distinguish effective candidates are set out in our overview of NED skills, competencies and behaviours.

Our Approach

We begin with the board’s specific need — the sub-sector, the ownership and regulatory structure, and the capability gap on the board — and assess candidates against that brief rather than a generic template: capital and concession judgement, regulatory and price-control understanding, safety and sustainability governance, and the independence and boardroom behaviour that make a non-executive effective. We operate in line with the voluntary code of conduct for executive search firms.

About the Founder

NED Capital was founded by Adrian Lawrence FCA, a Fellow of the ICAEW with over 25 years working with boards, investors and business owners across the UK. Adrian holds an ICAEW practising certificate and read for a BSc at Queen Mary College, University of London. Adrian has placed non-executive directors into transport and infrastructure businesses navigating long investment horizons, economic regulation and the safety and public-accountability obligations of operating essential assets. Infrastructure boards need NEDs who understand concession and regulated-asset economics, the price-control regimes set by bodies such as Ofgem, Ofwat and the Office of Rail and Road, and the decarbonisation and resilience obligations now central to the sector. As a chartered accountant, Adrian brings a direct grounding in the capital discipline and covenant governance these boards demand, and NED Capital’s network spans regulated utilities, transport operators, airports, ports and infrastructure funds. He personally leads NED Capital’s search mandates.

“NED Capital understood exactly the balance of financial credibility and independent judgement we needed at board level. Adrian led the search personally, and the director we appointed has strengthened our governance from the first meeting.”
