The NHS Trust Governance Structure

An NHS trust is led by a unitary board of executive and non-executive directors, chaired by a Non-Executive Chair. The executives — Chief Executive, Director of Finance, Medical Director, Chief Nurse — run the organisation day to day; the non-executives bring independent judgement, challenge and oversight. In a foundation trust a Council of Governors, comprising elected public, patient and staff governors alongside appointed stakeholder governors, holds the non-executives to account and is responsible for appointing the Chair and Non-Executive Directors. This dual accountability — to the board and to the governors — is distinctive to the NHS and shapes what an effective trust NED must be able to do.

Trust boards operate under the oversight of NHS England and are regulated for quality and safety by the Care Quality Commission. Board members must understand the NHS foundation trust constitution, the well-led framework against which trusts are assessed, and the national standards their organisation is measured against.
