The Role of a NED on a PE-Backed Board

On a portfolio-company board the non-executive provides independent oversight while working in close alignment with the investor’s value-creation plan. That means strategic oversight and challenge to keep the plan realistic and on track, governance and compliance appropriate to the ownership structure, and rigorous performance monitoring against the metrics that determine the eventual return. A strong PE NED scrutinises financial and operational reporting, tests whether management is hitting its milestones, and ensures corrective action is taken early rather than late.

Risk oversight carries particular weight in a leveraged environment, where debt covenants, cashflow discipline and downside scenarios all demand attention. Beyond oversight, the best NEDs contribute their networks — introductions to customers, partners, advisers and potential acquirers — and act as an experienced sounding board for a management team that may be running a business of this scale or under this ownership model for the first time. The role blends challenge, support and access in a way that is distinctive to private equity.

What Makes a NED Effective in Private Equity

Effective PE NEDs share a recognisable profile. They bring genuine financial acumen — the ability to read the numbers, interrogate a value-creation model and understand capital structure and covenant pressure. They have relevant sector or situational expertise, whether that is a specific industry, a stage of growth, or a particular event such as an M&A programme or a management buyout. They demonstrate strategic vision paired with the discipline to challenge and support the executive team in equal measure, and they maintain the independence and objectivity that gives their challenge weight.

Just as important is a demonstrable track record of value creation — evidence of having helped drive growth, improve operational performance or execute a successful exit in a prior role. Add to that the interpersonal skill to build trust quickly with both management and investors, and comfort operating in an environment where information flows are intense and accountability is high. A candidate can hold most of these attributes and still be wrong for a particular board; the judgement lies in matching the specific NED to the specific situation and stage.

How We Assess PE NED Candidates

Our process begins with a precise brief — the value-creation plan, the stage in the hold period, the specific capability gap on the board and the investor’s expectations of the appointment. From there we assess candidates against that brief rather than against a generic NED template: their instinct for the pace and accountability of PE ownership, their comfort with debt covenants and investor reporting, their experience of portfolio-company M&A, and their behaviour under the intense information flows these boards run. Structured interviews, scenario-based discussion and thorough referencing test not just what a candidate has done, but how they think and how they will contribute in the boardroom.

We assess every candidate against the independence criteria of the relevant governance code — the UK Corporate Governance Code for larger portfolio companies or the QCA Code where an AIM listing is in view — and against the statutory duties set out in the Companies Act 2006. Recent Appointments

A private equity-backed SaaS business approaching Series B needed an independent NED with digital-transformation experience and existing institutional-investor relationships; we identified and placed an INED with prior experience on two PE portfolio boards within six weeks of instruction. A founder-led consultancy of 45 employees sought its first non-executive to provide independent oversight through a planned management buyout; we sourced a director with direct MBO experience and a relevant commercial background. About the Founder

Adrian holds an ICAEW practising certificate and read for a BSc at Queen Mary College, University of London.
