The opportunity

A UK organisation is seeking a Non-Executive Director with a strong risk background to strengthen its board’s oversight of risk and, in time, to contribute to or chair its Risk Committee. As the risk environment grows more complex  spanning financial, operational, regulatory, technological and reputational exposures  boards increasingly value a director who can bring genuine depth in risk management and the independent judgement to challenge how well those risks are understood and controlled.

This is a governance appointment. The role is to provide oversight and constructive challenge of the organisation’s risk management framework and its most significant exposures — not to run the risk function, which remains the responsibility of management. The successful candidate will bring real risk expertise to the boardroom and contribute as a full member of the board across all its responsibilities.

Responsibilities

Key responsibilities

  • Providing the board with informed oversight of the organisation’s risk management framework, risk appetite and principal risks
  • Contributing to, and potentially in time chairing, the Risk Committee’s oversight of how risks are identified, assessed, controlled and reported
  • Bringing independent challenge to management’s assessment of risk and the adequacy of mitigation, without straying into managing the risks directly
  • Overseeing the effectiveness of internal controls and the organisation’s approach to emerging risks
  • Working closely with the audit committee and, where relevant, other committees to ensure risk is coherently overseen across the board’s work
  • Contributing as a full member of the board to strategy, performance oversight and constructive challenge across all matters
  • Upholding independence and the standards of governance expected of a non-executive director
Qualifications

What we’re looking for

  • A senior career in risk management (for example Chief Risk Officer, Head of Risk, or equivalent senior risk leadership)
  • Genuine expertise in enterprise risk, internal control and the governance of risk, ideally across more than one category of exposure
  • The ability to operate at board level — oversight and challenge, not execution
  • Independence, sound judgement and the confidence to challenge management constructively and hold a firm line where necessary
  • Existing board or committee experience is welcome; we will also consider first-time non-executives of the right calibre with a genuine appetite for governance

Terms and commitment

This is a non-executive appointment on an initial three-year term, renewable by mutual agreement. The role carries a competitive non-executive fee, with directors’ and officers’ liability insurance and an indemnity in place. The time commitment is typically several days per quarter across board and committee meetings, preparation and occasional additional matters, with a number of meetings held in person on a hybrid basis.
