Technology Sector Non-Executive Recruitment
Technology boards face a governance challenge unlike any other sector: the pace of change is relentless, the value is concentrated in intangible assets and talent, and the risks — cyber, data, AI, regulation — evolve faster than most board structures can absorb. Whether the business is a scaling SaaS company, a fintech, a deeptech spin-out or an established software group, the board needs non-executives who genuinely understand technology, not generalists who treat it as someone else’s domain. The right technology NED brings the credibility to challenge a product and platform strategy, the judgement to oversee cyber and data risk, and the commercial experience to keep growth ambitions grounded in reality.
NED Capital places Non-Executive Directors, Chairs and technology-experienced independent directors into technology, software and digital businesses across the UK. Our candidates combine deep technology credibility with genuine boardroom effectiveness, and every search is led personally by Adrian Lawrence FCA. Many technology boards begin with our core non-executive director recruitment service, or explore the responsibilities and legal duties a technology board appointment carries.
What Technology Boards Require
Product, platform and scaling judgement
Technology value is created through product and platform decisions, and a board without technology depth cannot challenge them credibly. Non-executives who have built or scaled technology businesses bring the ability to interrogate product strategy, engineering investment, technical debt and the operational realities of scaling — the difference between a growth plan that is achievable and one that is optimistic. This is especially valuable for venture and PE-backed businesses, addressed further in our NEDs for private equity boards service.
Cyber, data and AI governance
Cyber-security, data protection and the governance of artificial intelligence are now board-level accountabilities, not technical footnotes. Boards must oversee data protection under the UK GDPR and the Information Commissioner’s expectations, manage cyber-risk exposure, and increasingly govern the responsible development and deployment of AI. Non-executives with genuine expertise in these areas give the board the confidence to challenge management and satisfy investors and regulators.
Commercial models and financial discipline
Technology businesses run on distinctive economics — recurring revenue, unit economics, customer acquisition cost, cash burn and the path to profitability. Non-executives must understand these models and bring the financial discipline that keeps growth sustainable. A finance-qualified director who understands SaaS and technology metrics is often a critical board appointment, particularly ahead of a funding round or exit.
The Technology Businesses We Work With
We place non-executive directors across the breadth of the technology sector: SaaS and enterprise-software businesses; fintech and financial-technology companies, where our FCA-regulated board governance expertise is often directly relevant; deeptech and university spin-outs commercialising research; digital, e-commerce and marketplace businesses; and established technology groups managing transformation. Each brings a different governance profile — a pre-revenue deeptech spin-out needs a different board from a profitable enterprise-software group — and we match candidates to the specific stage, ownership structure and challenge of the business.
The Profiles We Represent
Our technology network includes former chief executives, chief technology officers and chief product officers from software and technology businesses; cyber-security, data and AI-governance specialists ready for board roles; finance-qualified directors who understand technology and SaaS economics and can chair audit committees; and experienced technology non-executives who have governed businesses through scaling, funding rounds and exit. We assess every candidate on boardroom behaviour and independence as well as technology credibility, because the most technically expert candidate is not always the most effective director. The behaviours that distinguish effective candidates are set out in our overview of NED skills, competencies and behaviours.
Our Approach
We begin with the board’s specific need — the technology sub-sector, the stage of the business, the ownership structure and the capability gap on the board — and assess candidates against that brief rather than a generic template: product and scaling judgement, cyber, data and AI governance, commercial and financial discipline, and the independence and boardroom behaviour that make a non-executive effective. Because we lead searches personally, we can make the honest assessment of technology credibility that these appointments require. We operate in line with the voluntary code of conduct for executive search firms.
About the Founder
NED Capital was founded by Adrian Lawrence FCA, a Fellow of the ICAEW with over 25 years working with boards, investors and business owners across the UK. Adrian holds an ICAEW practising certificate and read for a BSc at Queen Mary College, University of London. Adrian has placed non-executive directors into technology businesses ranging from scaling SaaS and fintech companies to deeptech spin-outs and established software groups. Technology boards need NEDs who genuinely understand product and platform strategy, cyber and data governance, the responsible deployment of AI, and the distinctive economics of recurring-revenue businesses — not generalists applying a standard board template. As a chartered accountant, Adrian brings a direct grounding in the financial discipline and metrics these boards depend on, and NED Capital’s network combines deep technology credibility with the governance and boardroom experience that makes a non-executive genuinely effective at scaling and investor-backed technology companies. He personally leads NED Capital’s search mandates.
“NED Capital understood exactly the balance of financial credibility and independent judgement we needed at board level. Adrian led the search personally, and the director we appointed has strengthened our governance from the first meeting.”
