Board Recruitment

By Adrian Lawrence FCA, founder of NED Capital · Part of the Board Governance Hub

In short: NED Capital is a specialist board recruitment firm, conducting board-level search across every type of board appointment for UK organisations — private, PE-backed, listed and not-for-profit. Board recruitment is a distinct discipline from executive search: the candidate pool, the assessment criteria, the governance implications and the search methodology are all different, and applying a generalist executive-search approach to board-level appointments consistently misses what matters. We handle the full range of board-level mandates — non-executive directors, chairs, independent directors, committee chairs, trustees and advisory board members — as a single, research-led practice, and every board search is led personally by Adrian Lawrence FCA, a Fellow of the ICAEW and former listed-company finance director.

Building a board is one of the highest-return governance decisions an organisation makes — and one of the most consequential to get wrong. Board recruitment done well gives an organisation genuine independent challenge, sound oversight and the range of experience its strategy demands. Done poorly, it creates governance weakness that can take years and real cost to resolve. This is why board-level search deserves a specialist approach, and it is the whole of what we do.

Why Board Recruitment Requires a Specialist Approach

The gap between board-level recruitment and executive search is not a matter of seniority — it is a matter of discipline. The skills, experience and qualities that define a strong board member are different from those that define a strong executive, and the assessment framework, candidate pool and governance considerations are all specific to board-level appointments. The candidate pool is different: the most experienced board members — those with active mandates, current governance-code familiarity and credible sector standing — are not circulating their CVs; they are already serving on boards and considering new appointments selectively. Reaching them requires a research-led, direct-approach methodology built on a genuine board-level network, not application-based advertising, which self-selects against the most capable people. The assessment criteria are different: board members are judged on independence of judgement, governance-code knowledge, committee competency and board-level behaviour — dimensions that have no direct equivalent in executive search, and that a firm applying an adapted executive framework consistently misses. The governance implications are consequential: every board appointment affects the board’s independence profile, its committee composition and its skills matrix, and for listed and regulated organisations its compliance with the applicable governance code. A board recruitment firm that does not assess these implications as part of the search leaves the organisation exposed to problems that emerge only after the appointment. This specialist discipline — and the governance context behind it — is explored further in our guide to what corporate governance is.

The Full Range of Board Appointments We Handle

Board recruitment covers every type of appointment to the board, and we run each as a dedicated, specialist search. Our non-executive director recruitment is our primary service — placing independent non-executives for private companies, PE-backed businesses, AIM and main-market listed companies, charities and not-for-profits. Chair and chairman recruitment is the most senior and most complex board appointment, run as a separate, dedicated search with particular focus on the chief executive–chair dynamic; where an organisation prefers the title “chair”, our non-executive chair recruitment covers the identical role. For FCA-regulated firms, listed companies and governance-critical organisations where formal independence assessment is required, our independent non-executive director (iNED) recruitment assesses candidates against FRC, QCA and SMCR criteria. We also place committee chairs — audit, remuneration and risk — and senior independent directors, where specific expertise and independence are essential; trustees for charities, housing associations and the wider social sector, under Charity Commission governance; and advisory board members for organisations seeking expertise and network value without formal director duties. Whatever the appointment, the underlying discipline is the same: a research-led search, rigorous board-level assessment, and a shortlist built to the organisation’s specific governance context rather than to its sector alone.

Board Recruitment Across Every Organisation Type

Board recruitment looks different depending on the organisation, and we tailor the search accordingly. Listed companies operate within specific governance-code requirements — the QCA Code for AIM, the UK Corporate Governance Code for premium-listed firms — that define board composition, independence and committee structures; we assess every candidate against the applicable code and advise on borderline independence situations before shortlisting. Private-equity-backed businesses need board members who understand the PE environment — value-creation plans, investor reporting, equity structures and exit-phase governance — and we source them from an active network of directors with current PE board experience, which is why PE-specific appointments sit within our private equity board recruitment practice. Founder-led and family businesses require particular care: the board member joining a founder-led board must establish genuine independence from founders who are often also the owners, and the personal dynamic with the founder is critical — we assess interpersonal fit carefully and advise first-time appointers on how many board members are appropriate, which skills gap to address first, and how to structure the board to add value without creating friction. Not-for-profit and public-sector organisations — charities, housing associations, further-education bodies and NHS trusts — require board members with specific knowledge of the relevant regulatory framework, and we place across the full range of these governance structures. In every case, the search begins with a clear-eyed analysis of the board as it stands, so the appointment addresses the real gap rather than a generic profile — the discipline set out in our guide to conducting a board skills audit.

What Makes a Board Effective — and Why Composition Matters

Good board recruitment is ultimately in service of a larger goal: building a board that genuinely functions. An effective board is not simply a collection of impressive individuals; it is a balanced group whose composition, dynamics and independence fit the organisation’s needs at its current stage. That balance has several dimensions. The first is the right mix of skills and experience — a board whose collective expertise matches the challenges the strategy will bring, rather than duplicating what is already there. The second is genuine independence — enough board members free of the relationships and interests that would compromise their objectivity to provide real, unafraid challenge to management. The third is healthy dynamics — a board where difficult questions are welcomed, where challenge is constructive rather than combative, and where no single voice dominates. And the fourth is diversity of background and thought — not as a box to tick, but because boards that draw on a genuinely wide range of perspective make better decisions and are less prone to the blind spots that sink the homogeneous. Each board appointment is an opportunity to strengthen one or more of these dimensions — or, if made carelessly, to weaken them. This is why we begin every search by understanding the board as it stands and what it specifically needs, and why the composition question matters as much as the calibre of any individual candidate. A board recruited this way — deliberately, to a clear understanding of need — becomes one of the organisation’s most valuable assets; the discipline behind it is developed in our guide to board structure, composition and independence.

Our Board Search Process — and Fees

Every board search we run follows the same disciplined process. We begin with a board composition analysis — mapping the current board, its backgrounds, tenure, committee roles and any independence issues — to identify precisely what the appointment needs to add, before any brief is agreed. We then define the brief and governance requirements in writing, including the applicable code requirements, the independence criteria, committee responsibilities and time commitment; the quality of the brief is the single biggest determinant of the quality of the shortlist. Candidates are identified through research-led sourcing in our board-level network — direct approach, never job-board advertising for board appointments — and every candidate is assessed personally by Adrian Lawrence FCA against the brief, with additional independence and regulatory pre-assessment for listed and regulated roles. We present a shortlist of three to five candidates with written profiles and a recommendation, and support the client through interview, referencing and appointment, with a replacement guarantee on every permanent board-level placement within the first twelve months. On fees: our board recruitment fee is a percentage of the agreed annual fee for the appointment, with a retained element on mandate acceptance, and we provide a fixed-fee proposal before commencement with no variable or hidden costs — the specific fee depends on the appointment type, organisation and seniority, and current market fee levels for the different roles are set out in our NED salary and fee guide.
