A well-established UK organisation is seeking an experienced, financially-qualified Non-Executive Director to join its board and chair its Audit Committee. This is a significant governance appointment for a candidate who combines recent and relevant financial expertise with the independence of mind, judgement and presence to provide genuine oversight at board level.

The Audit Committee sits at the heart of the organisation's governance, and the Chair plays a pivotal role in safeguarding the integrity of its financial reporting, the robustness of its internal controls, and the effectiveness of its risk management and external audit relationship. The board is looking for someone who will bring rigour and constructive challenge to this remit, while contributing fully as a member of the board to the organisation's wider strategy and direction.

Responsibilities

Key responsibilities

  • Chairing the Audit Committee, setting its agenda, and leading its work in overseeing financial reporting, internal control and risk management
  • Overseeing the integrity of the organisation's financial statements and the significant judgements and estimates within them
  • Reviewing the effectiveness of internal financial controls and the wider internal control and risk management systems
  • Leading the relationship with the external auditors — including their appointment, independence, remuneration and the scope and findings of the audit
  • Overseeing the internal audit function (where applicable), its independence, resourcing and effectiveness
  • Reviewing the organisation's arrangements for whistleblowing, fraud prevention and the management of financial and regulatory risk
  • Reporting the committee's work and conclusions to the board, and providing assurance that risks are properly understood and managed
  • Contributing as a full member of the board to strategy, performance oversight and constructive challenge of management
  • Upholding the highest standards of governance and independence, in line with the UK Corporate Governance Code
Qualifications

What we're looking for

  • A qualified accountant (ICAEW, ACCA, CIMA or equivalent) with a career at senior financial leadership level
  • Recent and relevant financial experience, as expected of an Audit Committee Chair under the UK Corporate Governance Code
  • Prior experience on an Audit Committee — as chair or member — is strongly preferred
  • A sound understanding of internal control, risk management and external audit in a comparable organisation
  • Genuine independence, integrity, and the confidence to challenge management constructively and hold the line where necessary
  • The judgement to distinguish oversight from execution — this is a board-level role, not an operational one
  • The gravitas to command the respect of the board, the executive team and the external auditors
  • Availability to commit the time that a committee-chair role genuinely requires, including preparation, meetings and periodic ad-hoc matters
Job Benefits

Terms and commitment

This is a non-executive appointment on an initial three-year term, renewable by mutual agreement. The role carries a competitive non-executive fee, with directors' and officers' liability insurance and an indemnity in place. The time commitment is typically several days per quarter, spread across board and committee meetings, preparation and occasional additional matters. Meetings are held on a hybrid basis, with a number requiring in-person attendance.
